Read these Terms of Service (“Terms”) carefully before using the website, tools, or services (“Service”) offered by LegalFlare.CA. Your access to and use of the Service signifies your unconditional agreement to comply with these Terms and our Privacy Policy, both of which create a legally binding agreement between you and LegalFlare.CA. If you do not accept these Terms, do not use the Service.

  1. Eligibility and Registration You must be a legal adult (at least 18 years old) and a resident of Ontario, Canada to use the Service. You must register an account by providing accurate and current information. You are solely responsible for the security and confidentiality of your account and password, as well as all activities that occur under your account. You must immediately notify LegalFlare.CA of any unauthorized use of your account or any known or suspected breach of security.
  2. License and Restrictions LegalFlare.CA grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. This license is strictly limited to the parameters outlined in these Terms. You expressly agree that you shall not: Modify, redistribute, sell, lease, rent, sublicense, or create derivative works from any part of the Service or its content. Use the Service to generate documents for commercial purposes or provide them to third parties. Decompile, reverse-engineer, disassemble, or attempt to discover any source code or the underlying structure, ideas, or algorithms of the Service. Disrupt or interfere with the security or operation of the Service, including its servers, networks, or any connected systems. Circumvent or disable any security or technological measure in place to protect the Service. Employ automated tools, scripts, bots, or other means to access, collect, or manipulate data or content from the Service. Employ the Service for any fraudulent, illegal, harmful, or unauthorized activities. Distribute unsolicited promotional materials, advertisements, spam, or any other form of solicitation through the Service. Transmit content that is obscene, discriminatory, defamatory, abusive, harassing, hateful, threatening, or otherwise objectionable. Infringe LegalFlare.CA’s or any third party’s intellectual property rights, privacy rights, or any other applicable laws. Impersonate any person or misrepresent your affiliation with LegalFlare.CA or any other entity.
  3. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LEGALFLARE.CA EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES, BUT IS NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR COMPATIBILITY. LEGALFLARE.CA DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE.
  4. No Professional Legal Advice LegalFlare.CA is an experimental platform providing general legal information and document generation tools. The Service is not designed or intended to substitute for professional legal advice. You acknowledge that the Service’s content should not be used as a basis for making legal decisions or taking legal action. LegalFlare.CA strongly recommends consulting a qualified attorney in Ontario for any specific legal problems, questions, or advice.
  5. Limitation of Liability TO THE ABSOLUTE MAXIMUM EXTENT ALLOWED BY LAW, LEGALFLARE.CA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES STEMMING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POTENTIAL FOR SUCH DAMAGES. THIS INCLUDES DAMAGES ARISING FROM LOSS OF USE, DATA, PROFITS, REVENUE, GOODWILL, OR ANY INTANGIBLE LOSSES. LEGALFLARE.CA WILL NOT BE LIABLE FOR ANY ERRORS, OMISSIONS, INACCURACIES, OR LEGAL CONSEQUENCES RESULTING FROM YOUR USE OF THE SERVICE OR THE DOCUMENTS GENERATED. IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE SERVICE WILL IN NO CASE EXCEED $1 CAD.
  6. Indemnification

· You agree to indemnify, defend, and hold LegalFlare.CA, its affiliates, officers, directors, employees, agents, licensors, suppliers, and any third-party providing services in relation to the operation of the Service completely harmless from and against any and all claims, suits, actions, liabilities, losses, damages, costs, and expenses of any nature whatsoever (including reasonable attorneys’ fees, court costs, and settlement expenses) arising from or related to:

 Your access to or use of the Service, including your reliance on or utilization of any information or documents obtained from the Service

 Your violation or breach of these Terms, any applicable law, regulation, or any contract or agreement entered into with a third party as a result of your use of the Service.

 Your infringement, violation, or misappropriation of any intellectual property, privacy, publicity, or other rights of any third party.

 Any content you submit, post, or transmit through the Service, including its accuracy, legality, and potential to cause harm or damage.

 Any actions or omissions by you, whether negligent, intentional, or otherwise, that result directly or indirectly in harm, damage, or liability to LegalFlare.CA or any third party.

 Any claims arising from your use of the documents you generate through the Service, including disputes regarding their legal validity, enforceability, or potential repercussions.
  1. Intellectual Property Rights The Service and all content, including but not limited to its design, text, graphics, logos, trademarks, software, code, and other materials are the exclusive property of LegalFlare.CA or its licensors. These elements are fully protected by Canadian and international intellectual property laws. You may not use, reproduce, modify, distribute, transmit, perform, display, publish, or create derivative works from any part of the Service or its content without our prior written consent. You acknowledge and agree that LegalFlare.CA may, at its sole discretion, utilize user-generated documents to improve the Service’s capabilities, generate anonymized statistical analyses, or for marketing purposes without the obligation to provide any form of attribution or compensation to you. You further acknowledge that LegalFlare.CA holds the right to disclose user-generated documents if required by law or if it has a good faith belief that such disclosure is necessary to comply with legal process, to protect and defend the rights or property of LegalFlare.CA, or to protect the safety of other users, the public, or law enforcement authorities.
  2. Feedback We welcome any feedback, suggestions, comments, or ideas about the Service. By submitting feedback, you grant us a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully transferable and sublicensable license to use, copy, reproduce, modify, distribute, display, perform, create derivative works from, and otherwise fully exploit any such feedback in any way we deem fit, without compensation or attribution to you. You waive any and all moral rights or other rights of authorship you might possess in any submitted feedback.
  3. Governing Law and Dispute Resolution These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable laws of Canada. Any dispute, controversy, or claim arising from or related to these Terms or the use of the Service shall be resolved exclusively through binding arbitration in Ottawa, Ontario, conducted pursuant to the Arbitration Act, 1991 (Ontario) and its subsequent amendments or replacements. You expressly and irrevocably consent to the exclusive jurisdiction and venue of the courts of Ontario or an arbitrator selected under these Terms for any dispute resolution. All arbitration proceedings shall be conducted in the English language. The Federal Arbitration Act and Ontario arbitration law shall govern the interpretation, enforcement, and proceedings pursuant to this dispute resolution clause. You agree that LegalFlare.CA shall be entitled to injunctive or other equitable relief to protect its intellectual property rights and to prevent any irreparable harm or injury that may arise from your breach of these Terms, notwithstanding the arbitration provisions.
  4. Severability

· If any part of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, it shall be severed. The severed provision will not affect the validity and enforceability of the remaining Terms.

  1. Changes to Terms of Service LegalFlare.CA reserves the right to update these Terms of Service at any time and at its sole discretion. Changes will be posted on the LegalFlare.CA website and/or through a notification within the Service. Your continued use of the Service after any updates to the Terms constitutes your acceptance of the changes. It is your responsibility to review the Terms periodically for modifications.
  2. Waiver

· The failure of LegalFlare.CA to enforce any part of these Terms does not constitute a waiver of its right to later enforce that or any other provision of these Terms.

  1. Force Majeure LegalFlare.CA shall not be liable or held responsible for any delay or failure in performance of its obligations under these Terms when such delay or failure arises from causes beyond its reasonable control. Such causes shall be deemed to include, but not be limited to: Acts of God or the public enemy (e.g., natural disasters such as earthquakes, floods, severe storms, fires) Acts of terrorism, war, civil unrest, or riots. Labor strikes, lockouts, or other work stoppages. Power outages, telecommunications failures, or interruptions in internet service Governmental laws, orders, regulations, or actions that adversely impact LegalFlare.CA’s ability to operate the Service. Changes in law or governmental regulations or actions that impact the Service’s functions. Infrastructure failures or malfunctions unrelated to LegalFlare.CA’s direct control. Epidemics, pandemics, or large-scale public health crises.
  2. Entire Agreement These Terms and the Privacy Policy supersede all prior or contemporaneous communications or representations, whether written or oral, including any statements, representations, or materials provided on the Service or prior marketing materials. No modification of these Terms shall be effective unless in writing and signed by an authorized representative of LegalFlare.CA. Any translation of these Terms is solely for your convenience and in the event of conflict or ambiguity, the English language version shall prevail.
